ViXS Systems, the Toronto-based maker of video processing and MoCA chips, has named Sohail Khan to president and CEO.

The appointment of Khan fills a big void at ViXS, which lost interim president and CEO Hugh Chow in May. Chow came in to take on the duties of Sally Daub, the ViXS co-founder who resigned in February.

Khan most recently was president and CEO of Lilliputian Systems, an early-stage spinout from MIT, and is currently on the board of Intersil Corp. and Lightpath Technologies.

He previously was president and CEO of SiGe Semiconductor, a private fabless semiconductor acquired by Skyworks Solutions in 2011. Khan also helped with the spinout and IPO of Agere Systems, another chipmaker, from Lucent Technologies. Khan had served as president of the integrated circuits unit of Lucent Technologies Microelectronics (an AT&T spinout).

Khan has a Bachelor's Degree in Electrical Engineering from the University of Engineering and Technology, Lahore, Pakistan and an MBA from the University of California at Berkeley.

"The Board of Directors is delighted with the appointment of Mr. Khan. He is a seasoned semiconductor executive with a deep understanding of the capital markets and has a proven track record of financial and operational execution. We have the utmost confidence that Sohail is the leader to drive the monetization and commercialization of ViXS' technology," said Peter Currie, chairman of ViXS, in a statement.

“My goal is clear, to commercialize ViXS` technology and deliver improved execution and financial performance, creating value for all stakeholders," Khan added.

Khan comes on board as ViXS struggles. It posted Q2 revenues of $6 million, down from $8.9 million in the year-ago period, mainly due to lower XCode 6400 sales as first generation Ultra HD TV companion designs came to an end (the 6400 is an SoC with native support for 10-bit HEVC and UHD/4K video), paired with lower sales of legacy products. Those numbers were partially offset by higher MoCA sales.

In June, Entropic announced it would lay off 23% of its global workforce as part of its reorg. It ended the first quarter of 2014 with about 650 employees and expects to reduce that to fewer than 500 in the fourth quarter of 2014. That will follow smaller restructuring last summer that included a 10% layoff.

Entropic, which also competes with Broadcom, announced revised third quarter guidance on Tuesday, and now expects revenues to be $43 million alongside a GAAP loss per share of 28 cents, versus original third quarter guidance of a loss of 24 cents on revenues of $49 million to $51 million. Entropic said the revisions were primarily due to sales softness for its satellite TV outdoor unit (ODU) business, but said it has won some key designs recently to help it take steps toward break-even.

At the end of the second quarter, Entropic had four customers driving more than 10% of revenues: WNC, a supplier into DirecTV (25%); CyberTAN, a subcontractor for Cisco Systems (14%); Actiontec, a supplier to Verizon Communications (14%); and MTI, a supplier of ODU gear to satellite TV companies (11%).

“Our Board of Directors and management are committed to taking the appropriate steps to enhance value for Entropic shareholders and we have determined that undertaking a thorough and deliberative evaluation of strategic alternatives, with the assistance of financial advisors, is in the best interests of the Company and all of our shareholders," Patrick Henry, president and CEO of Entropic, said in a statement. "The entire Entropic team is fully committed to meeting the needs of our OEM customers and service provider partners and we will continue to provide them with industry-leading solutions for connected home entertainment throughout this process."

ViXS also complained that Entropic's timing was suspect becasue the suit was targeting ViXS as the Toronto-based company was in the midst of an initial public offering. ViXS's complaint also sought to halt the importation into the U.S. and sale after importation products that use Entropic’s MoCA silicon, and included DirecTV, Wistron NeWeb Corp., and CyberTAN on the list of defendants.
ViXS Systems said it will use next week’s Cable Show in Los Angeles to demo a chipset that features 4K HEVC/H.265 10-bit decoding/transcoding and support for the Reference Design Kit (RDK), the pre-integrated software stack for IP and IP/QAM hybrid boxes being managed by Comcast, Time Warner Cable and Liberty Global.

Targeted to next-gen gateways and set-tops, ViXS said its XCode 6400 systems-on-chip supports native 4K/Ultra HD and silicon-based transcoding alongside HEVC, which is designed to be 50% more bandwidth-efficient than MPEG-4/H.264 coding.

Comcast is gearing up to launch a 4K VOD app that will debut later this year on new Samsung 4K TVs and deliver content over the customer’s high-speed Internet connection. Comcast is developing a new line of devices for its X1 platform with HEVC that can decode native 4K signals. Those are expected out later this year.

ViXS’s new SoC is one of its latest RDK-pointing projects. In January, ViXS and Intel announced an RDK partnership that will match Intel’s Puma 6 MG DOCSIS 3.0 gateway chips with ViXS’s XCode 5106 multi-stream HD transcoder. Last year, the vendors announced plans to develop a reference design that integrates the Intel Puma 6 with ViXS’s transcoding and MoCA 2.0 chips.

"ViXS Systems has been instrumental in making UHD 4K a reality in the broadcast industry and with our introduction of a reference platform that combines UHD 4K, HEVC, and RDK, we expect momentum to increase further still," said Sally Daub, President and CEO, ViXS Systems Inc. "RDK is a feature rich framework for pay TV operators that, when combined with ViXS' UHD 4K media processing, becomes a powerful platform for accelerating the deployment of STBs and gateways to address growing consumer demand for the unbelievable viewing experience of Ultra HD,” Sally Daub, president and CEO of ViXS, said in a statement.

Toronto-based ViXS has been making news elsewhere of late. Last week, it targeted Entropic Communications as well as DirecTV and other Entropic customers in a complaint filed with the U.S. International Trade Commission alleging that they are infringing on several asserted patents and engaging in unfair trade practices.

ViXS’s complaint comes after Entropic filed a patent infringement lawsuit in a California district court alleging that ViXS is infringing two of Entropic’s “core home networking patents.” ViXS has filed counterclaims in that case.

ViXS has targeted rival chipmaker Entropic Communications and several of its customers in the form of a complaint filed at the U.S. International Trade Commission alleging that they have engaged in unfair trade practices by using certain set-tops, gateways and other devices that, ViXS claims, infringe on a batch of asserted patents.

Toronto-based ViXS said the complaint seeks to stop the importation into the U.S. and sale after importation of products that use Entropic’s Multimedia over Coax (MoCA) silicon or its systems-on-chip (SoCs).

A complete copy of the ITC complaint was not immediately available, but ViXS said in release that the complaint “lists several DirecTV STBs that include Entropic MoCA chips.”

MoCA, popular in whole-home DVR products, is used by several pay-TV operators and set-top and gateway vendors to distribute content securely over the home's coax network using IP. Entropic cut its teeth on MoCA, and ViXS now competes in that market with MoCA 1.1 and 2.0 silicon under the XConnex brand for use in set-tops, Ethernet-over-coax bridges and media gateways.

ViXS is asserting four U.S. patents in its ITC complaint:

No. 7,301,900: “Method and apparatus for hub-based network access via a multimedia system;”

No. 7,099,951: “Method and apparatus for multimedia system;”

No. 7,200,855: “Method and apparatus of multiplexing a plurality of channels in a multimedia system;” and,

No. 7,406,598: “Method and system for secure content distribution.”

ViXS said it also intends to seek damages in federal court through a separate filing.

“We do not comment on ongoing litigation,” Entropic said, in a statement. DirecTV has been asked to comment on the complaint.

ViXS’s ITC filing comes almost a year after Entropic filed a patent infringement lawsuit in a California district court alleging that ViXS is infringing two of Entropic’s “core home networking patents.”

ViXS has filed counterclaims in that case, alleging breach of contract, interference with business relations, and unfair competition. “These counterclaims were based in part on Entropic's filing of its San Diego suit while ViXS was in the midst of an initial public offering,” said ViXS, which announced its intentions to go public last April.

On Tuesday (April 15), ViXS posted a fiscal fourth quarter net loss of $6.7 million on revenues of $7 million. For the full fiscal year, it pulled in revenues of $30.4 million on a comprehensive loss of $32.6 million, or $1.01 per share.
