                                <p>Cloud-based video services vendor Brightcove has <a href="https://www.brightcove.com/en/company/press/brightcove-announces-acquisition-of-Ooyala-OVP-business">announced</a> the $15 million purchase of Ooyala’s video online video platform (OVP) business.</p><p>Boston-based Brightcove said during it’s fourth-quarter earnings all Wednesday that the deal consist of $6.25 million in cash and the rest in Brightcove shares.</p><p>Brightcove said it’s acquiring Santa Clara, Calif.-based Ooyala’s OVP technology, including video content management and publishing platform Backlot, Analytics, Live, and its underlying intellectual property and associated patents. Brightcove will acquire “substantial portions’ of Ooyala’s engineering, support and sales staff, including the company’s operations in Guadalajara, Mexico.</p><p><a href="https://www.nexttv.com/news/telstar-sells-ooyala-to-management-after-500m-write-off" data-original-url="https://www.multichannel.com/news/telstar-sells-ooyala-to-management-after-500m-write-off">Related: Telstra Sells Ooyala to Management after $500M Write-Off</a></p><p>Speaking during Wednesday’s earnings call (transcript courtesy of <a href="https://seekingalpha.com/article/4240824-brightcove-inc-bcov-ceo-jeff-ray-q4-2018-results-earnings-call-transcript?part=single">Seeking Alpha)</a>, Brightcove CEO Jeff Ray said the deal “makes clear who the undisputed leader is in OVP. And as you know, when you are the market leader, customers and prospects naturally include you in RFPs, they naturally come to you and that gives us we think a great advantage.</p><p>“We also have an opportunity to open up to new markets,” Ray added. “They’ve got some geographies, some great well-known customers in geographies where we aren’t very strong or not present at all and we’re excited about the ability to help that accelerate our global expansion. They do have a partner community. It’s robust and we’re very eager to engage with those partners and fold them into our partnership strategy.”</p><p>Ooyala was founded in 2007 and subsequently purchased by Australian telecom Telstra. Ooyala management bought the company out in October, following Telstra’s $500 million write-down. Although OVP generated the bulk of Ooyala’s revenue at the time, company CEO Jonathan Huberman said he saw more opportunity in the workflow tools side of the business. </p>

                                <p>Australian telecom <a href="https://www.nexttv.com/tag/telstra" data-original-url="https://www.multichannel.com/tag/telstra">Telstra</a> announced Thursday night that it has completed the sale of Ooyala to the video technology company’s upper management, thus culminating the infrastructure conglomerate’s pricey attempt to own a piece of Silicon Valley.</p><p>Telstra purchased <a href="https://www.nexttv.com/tag/ooyala" data-original-url="https://www.multichannel.com/tag/ooyala">Ooyala</a> in two stages in 2012 and 2014 under the direction of former chief David Thodey, spending more than $500 million in the process. By 2016, Telstra conceded that the value of Ooyala had dipped to $246 million. And by last February, the telecom—which had attempted to participate in the monetization video companies like Netflix were enjoying on its network—submitted to that the value was zero.</p><p><a href="https://www.nexttv.com/news/telstra-writes-ooyala-investment-417969" data-original-url="https://www.multichannel.com/news/telstra-writes-ooyala-investment-417969">Related: Telstra Writes Off Ooyala Investment</a></p><p>Terms of the transaction weren’t disclosed.</p><p>“With this transaction, we’re ushering in an exciting new chapter for our company, positioning ourselves to invest even more aggressively in our client solutions,” said Jonathan Huberman, CEO of San Jose, Calif.-based Ooyala, in a statement. “We’re now much better equipped to more nimbly drive Ooyala’s growth—innovating our own technologies as well as acquiring others that deliver the best customer satisfaction. Our flagship product, the Ooyala Flex Media Platform, is on track to solidify a position as the best-in-class video streaming and media logistics solution.”</p><p>Ooyala hired Huberman in April 2017, about five months after former CEO Ramesh Srinivasan left the company. Huberman also came on board a couple months after Ooyala had reportedly laid off 14% of its workforce amid a restructuring that, it hoped, would lead to new jobs and product areas.</p><p>Ooyala’s Flex Media Platform underpins the company’s suite of video streaming and media logistics solutions. Ooyala powers the content supply chain for media, entertainment, telecommunications, enterprise, broadcast, and sports clients including Audi, Chelsea FC, Dell, National Rugby League of Australia, PGA, Starhub, Sky Sports, Turner … and Telstra, which will remain a customer.</p>

That’s up from a previous high of 58.3% in the previous quarter.</p><p>Ooyala, a maker of multiscreen video software and systems, attributed the rate of growth, which ticked up 11% year-over-year, on a jump in tablet views alongside steady viewership increases on smartphones.</p><p><a href="http://www.broadcastingcable.com/news/platforms/what-s-next-ooyala/172023">RELATED: What’s Next for Ooyala? (subscription required)</a></p><p>As a comparative look back at the rapid, increasing power of mobile video, Ooyala points out that mobile video plays made up just 17.14% of the total in Q4 2013.</p><p>The share of video starts on smartphones rose 1.7% to 47.5% in Q4, while views on tablets reached nearly 12.8% of all views in the quarter, a record for that platform, Ooyala said, noting that views on tablets jumped by more than 24% from Q3 and 67.7% from a year ago.</p><p>Ooyala also found that medium-form (5 to 20 minutes) and long-form content (20 minutes-plus) ate up more than half of all viewing time across all screens.</p><p>On connected TVs, long-form time viewed in Q4 chimed in at 98.9%, about the same from the previous quarter, and up from 96% in the year-ago period. Long-form viewing on tablets followed, at 62%.</p><p>Ooyala’s study also took a look at the multiscreen advertising landscape, finding that broadcaster pre-roll ad impressions on smartphones topped 54% in Q4, accelerating from 39% in Q3 and 29% in Q2. </p><p>Completion rates of pre-roll ads varied by screen type. In Q4, completion rates in this category on PCs were 87%, up slightly from Q3, versus 91% for connected TVs (a number that’s been flat for three quarters), and 86% on smartphones, up from 84% in Q3.</p>

With the combination of Ooyala’s platform and Microsoft’s cognitive computing services, the ZoneTV Programming Studio delivers an unmatched capability to enhance the TV ecosystem and translate into a one-of-a-kind viewer experience,” Jeff Weber, ZoneTV’s CEO, said in a statement.</p><p>ZoneTV, formerly known as ES3, initially targeted Mediaroom, the IPTV middleware platform that <a href="https://www.nexttv.com/news/ericsson-closes-microsoft-mediaroom-deal-357643" data-original-url="https://www.multichannel.com/news/ericsson-closes-microsoft-mediaroom-deal-357643">Ericsson acquired from Microsoft </a>in the fall of 2013 that powers pay TV services from companies such as AT&T, Hawaiian Telecom, Telus, Frontier Communications and CenturyLink.  DirecTV, now part of AT&T, was ZoneTV’s <a href="https://www.nexttv.com/news/zonetv-lands-directv-409279" data-original-url="https://www.multichannel.com/news/zonetv-lands-directv-409279">first launch partner outside the Mediaroom environment</a>.                                 <figure class="van-image-figure pull-" data-bordeaux-image-check ><div class='image-full-width-wrapper'><div class='image-widthsetter' ><p class="vanilla-image-block" style="padding-top:56.25%;"><img id="CdKywzXvxTvM5N4P93f5iU" name="" alt="" src="https://cdn.mos.cms.futurecdn.net/CdKywzXvxTvM5N4P93f5iU.jpg" mos="https://cdn.mos.cms.futurecdn.net/CdKywzXvxTvM5N4P93f5iU.jpg" align="" fullscreen="" width="" height="" attribution="" endorsement="" class="pull-"></p></div></div></figure><p>Ooyala, the Telstra-owned multiscreen OTT specialist, has filed a federal lawsuit against rival Brightcove over allegations that the company and certain employees of Brightcove “engaged in deliberate and willful misappropriation of proprietary trade secrets.”</p><p>Per the suit, Ooyala claims that those trade secrets and proprietary info spans customer contact lists, confidential sales pitches and pricing, marketing plans and corporate strategies.</p><p>Ooyala held that the alleged misappropriation was being used to undermine and exploit Ooyala’s business dealings and sales efforts for Brightcove’s benefit throughout Latin America.  </p><p>Ooyala said it is seeking a court trial and an injunction against Brightcove in federal court in Boston, and is asking the company and its employees to return all proprietary materials and to destroy all customer information stemming from the allegations.</p><p>The six-count filing also includes allegations of deceptive business practices, tortious interference and breach of contract, Ooyala said, noting that it gave Brightcove notice once it uncovered the evidence tied to those allegations and that it believes that Brightcove continued to use that information after notice was given.</p><p>Brightcove said it reviewed the assertions made by Ooyala in good faith, but that Ooyala “disengaged” from those discussion and pushed ahead with the lawsuit. Brightcove’s full statement is as follows:</p><p>"We are aware of Ooyala's assertions concerning the alleged misappropriation of trade secrets. When first alerted to these assertions by Ooyala, we reviewed them in good faith and reached out to Ooyala in an effort to address its concerns. Ooyala disengaged from that conversation and then filed this suit. Brightcove believes that this lawsuit is entirely without merit. We are working to resolve the matter, which is narrowly focused on a particular region and does not concern our products, services or technology."</p><p>Ooyala said it has made “significant investments in Latin America,” including an R&D office in Guadalajara, and sales, marketing and channel efforts in Argentina, Brazil, the Caribbean, Chile, Colombia, Mexico, Panama and Peru.<br/><br/><strong>Update:</strong> The complaint, filed May 22 in the U.S. District Court for the  District of Massachusetts by Ooyala, identifies Brightcove and two Brightcove employees, Darío Pérez Real and Raúl Francisco García Domínguez, who were formerly with Ooyala, as defendants.</p><p>Per the compliant, Ooyala alleges that Perez “surreptitiously sent to Brightcove a wealth of Ooyala’s confidential and trade secret information” in his final three months of employment as a senior sales exec at Ooyala and while he was being courted to join Brightcove.</p><p>Ooyala further claims that Garcia, a former vice president of Ooyala and current head of Brightcove’s Latin America division, coordinated the alleged misappropriation of trade secrets.</p><p>The complaint alleges that Perez, prior to resigning from Ooyala on Feb. 23, 2017, had already signed an employment contract with Brightcove and was working with Garcia to send confidential client data to Brightcove and to solicit Ooyala’s current and prospective customers on Brightcove’s behalf.</p><p>Ooyala also holds that it has already lost one account to Brightcove and others that were required to be renewed at a lower average contract value “to counteract Brightcove’s misappropriation of Ooyala’s confidential and trade secret information.”</p><p>Ooyala didn’t name which of its current and prospective clients were impacted by those allegations, but did point to an April 19 press release from Brightcove announcing “key customer wins,” including Grupo Televisa, Expansión, and Grupo Nación Paraguay, and plans to open an office in Mexico City. Garcia, GM, Latin America at Brightcove at the time of the announcement, is one of the execs quoted in the release.<br/><br/><br/></p>

The company expects video plays to account for 60% in the near future.</p><p>In terms of ad-supported video on demand, 56% take place on mobile devices. Mobile has its lowest share in North America, where it represents less than 50% of video starts, more than 10% lower than the Europe, Middle East and Africa region.</p><p>The largest share of global on-demand viewing, 45%, takes place on smartphones, with desktops representing 44% and tablets 11%. In North America, viewers watch more long-form video than either short-form or mid-form.</p><p>Ooyala also found that more than 47% of the time spent watching videos on smart phones was spent watching long-form content. The next phase must be about realizing the potential of our R&D investments. The restructure we announced today will put more specialized product, sales and channel resources in the field, and significantly grow our technical support staff to improve customer enablement and long-term customer success."</p><p>Rayburn reported that Ooyala plans to rehire about 7% new employees in pursuit of its plan to focus on areas outside of its OVP product line. For content running more than 30 minutes, connected TVs (52%) was tops, followed by tablets (36%), mobile phones (23%) and PCs (22%).</p><p>On the ad front, Ooyala found that 49% of all ad impressions for publishers were on mobile devices, up 11% from the previous quarter.</p><p>Broadcasters that streamed long-form premium content realized ad completion rates at or above 90%, Ooyala said.</p>

Its <a href="http://www.ooyala.com/customers/bjtv">customers include</a> Vice Media, ESPN, Telefonica, Univision, Pandora, NBCUniversal, LG Electronics, Fox Sports, Tennis Channel, BYU TV, Newsy, and Park City Television, among others.</p><p>One analyst questions whether Ooyala is positioned to hit lofty growth targets that would exceed $1 billion in annual revenues.</p><p>“Be excited, but be realistic,” Dan Rayburn, EVP of StreamingMedia.com and principal analyst at Frost & Sullivan, surmised in this <a href="http://blog.streamingmedia.com/2015/08/telstra-to-spin-out-ooyala-in-ipo.html">blog post</a> about the plan. Citing a source at Telstra, he said Ooyala believes that it will drive $100 million in revenues for 2015.</p><p>“At the same time, Ooyala keeps talking about how they think their business can grow to do $1B in revenue in a few years, which isn’t realistic,” he said, pointing out that Brigthcove made the mistake of predicting growth targets it couldn’t match when it went public in 2012.</p><p>And while Ooyala sells into operators, which is not a key focus for Brightcove, “that alone is not enough to justify their market or revenue projections. Even if Ooyala grew revenue 50% each year, it would take them six years to get to $1B,” Rayburn said.</p><p>At the same time, he noted that he’s not “knocking Ooyala, Brightcove or any other video platform provider…I’m just as excited about the market opportunity as they are. But setting false expectations simply sets companies up for failure and is bad for the entire industry.” </p>

Ooyala clients include Telstra, Univision, Foxtel, Comedy Central, NBC Universal, Telstra, and Telegraph Media Group, among others.</p><p>"Our combined platforms will offer a more holistic view of content and ad performance across a broadcaster's entire business, including granular data on not only what, how and where people are watching, but also where and how they can make the most money," said Ooyala CEO Jay Fulcher, in a statement. “"Videoplaza's team has clearly demonstrated strong leadership in the fast-growing video advertising market, and are closely aligned with our vision for growth and innovation in this new line of business.”</p><p>"We are excited to join forces with Ooyala and Telstra. We share their vision and believe their strong appetite to invest for the long term in building a global market leader will set us apart. You.i, by the way, is underpinning the interface for “shomi,” the new OTT subscription video offering from Canadian operators Rogers Communications and Shaw Communications.</p><p>-Off the floor, RDK LLC, the joint venture of Comcast, Time Warner Cable, and Liberty Global, plans to host a private, closed door meeting with suppliers and operators on Sept. 16, according to people familiar with it. The system is particularly tailored for the delivery of live sporting events, they said.</p><p>-Arris has introduced a suite of advanced compression products, including the HEVC-capable DSR-7400 Transcoder Integrated Receiver/Decoder; the SE-7400 HEVC UHD/4K Encoder (a single-channel HEVC/UHD encoder for live linear encoding up to 4Kp60; and the ME-7000 Converged Compression Platform (for multiscreen delivery of IPTV, cable and satellite applications).  </p><p>-Alcatel-Lucent has introduced virtualization features to its Velocix Content Delivery Network (CDN) platform that decouples the software that controls and routes traffic on a network from the physical infrastructure that provides compute and storage resources. That combo reduces the time required to install or expand the CDN, the company said, noting that the product set joins the company’s network functions virtualization (NFV) portfolio announced earlier this year.</p><p>-Ooyala, the online video publisher <a href="https://www.nexttv.com/news/telstra-acquire-ooyala-383112" data-original-url="https://www.multichannel.com/news/telstra-acquire-ooyala-383112">being acquired by Australian telco Telstra</a>, said it has won a deal to support Sky Sports’ free VOD content slate offered on its website, including analytics that tell Sky now users are engaging with that content and discovery features that help visitors find content. Ooyala also announced that it is powering premium content for Presto on Google Chromecast  devices.
