Earlier this year, Concurrent took aim at tier 2/3 operators with a new platform aimed at helping that group upgrade and advance their existing video platforms cost effectively, covering services such as VOD, live TV and cloud DVR.</p><p>RELATED: Concurrent Pitches Video ‘Springboard’ to Smaller Cable Ops</p><p>Concurrent’s delivery and storage business employs about 100 people and generated revenue of $27.6 million for the fiscal year ended June 30, 2017. Vecima said it expects to continue operating the business under the Concurrent brand.</p><p>Concurrent and Vecima expect to close the deal before the end of 2017.</p><p>In May, Concurrent sold its Real-Time business segment to Battery Ventures for $35 million in cash.</p><p>Concurrent is expected to have a debt-free balance sheet with about $67 million in pro forma working capital and “substantial retained tax assets” at the time of the deal’s closing with Vecima, Derek Elder, Concurrent’s president and CEO, said in a statement.</p><p>Vecima said it expects that its business will generate more than $5.5 million in annualized adjusted EBITDA after closing, capturing synergies that include the removal of Concurrent’s public company costs.</p><p>Concurrent is expected to file a preliminary proxy statement with the U.S. Securities and Exchange Commission within 30 days. It said that a group of stockholders representing about 17% of the issued and outstanding shares of Concurrent common stock have agreed to vote in favor of the proposed deal.</p><p>Canada-based Vecima has specialized in products such as video decoders, gear targeted to the commercial and hospitality industry, as well as DOCSIS 3.1, including nodes tailored for cable’s emerging distributed access architectures.</p><p>“Vecima believes that the rapid growth in IPTV delivery across both MVPD private CDNs and OTT providers will continue to accelerate,” Sumit Kumar, Vecima’s president and CEO, said in a statement. “Concurrent is a recognized leader in storing, protecting, transforming and delivering media assets.  Adding their solutions to our industry leading broadband internet access platforms, will allow us to deliver an end to end, massively scalable video and data solution to the market.”</p>

                                <p>Verimatrix has joined the wheeling and dealing around this week’s IBC show in Amsterdam with a play for Concurrent Computer Corp’s multi-screen video analytics business.</p><p>Financial terms were not announced, but Verimatrix, a maker of video security systems, said the deal will help to accelerate the development of its Verspective Intelligence Center, a cloud-based revenue security platform that it will demonstrate at this week’s show.</p><p><strong>Update:</strong> Concurrent revealed in this <a href="http://www.sec.gov/Archives/edgar/data/749038/000114036115034737/form8k.htm">8-K filing</a> that Verimatrix is paying $3.5 million for its multiscreen video analytics business. The deal is comprised of $2.75 million in cash, and $375,000 placed in escrow (as security for Concurrent's indemnification obligations to Verimatrix), a $375,000 deferred payment which will be paid to Concurrent on or before June 30, 2016 less any portion of such amount used to make indemnification payments to Verimatrix after exhaustion of the escrow). </p><p>The acquisition, it added, will also allow Verimatrix to tap into Concurrent’s base of existing customer relationships that includes tier 1 pay-TV operators. For its fiscal year ended June 30, 2015, Concurrent noted in this <a href="http://www.sec.gov/Archives/edgar/data/749038/000114036115033559/form10k.htm">SEC filing</a> that Cox Communications represented 9% of total revenues and Time Warner Cable represented 6% of our total revenue, and that they each represented 13% of total revenue for Concurrent's fiscal year ended June 30, 2014. </p><p>“We are excited to advance our Verspective platform and services to deliver more competitive value to our pay-TV operators through this highly strategic and targeted acquisition,” said Tom Munro, CEO of Verimatrix, in a statement.  “Big data analytics are becoming a game-changer in the pay-TV market for operators to continually push the innovation envelope and increase ARPU. Maintaining security of that data can help enforce privacy rules while also ensuring integrity of the systems involved, making the combined offering a win-win for service providers and their subscribers.”</p>

                                <p>As the video landscape continues to change and evolve, so has the relationship between some suppliers in that ecosystem.</p><p>SeaChange International and Concurrent Computer Corp., bitter rivals during the early days of cable VOD when they both sold servers and the backoffice software to orchestrate them, are now chums after striking a “collaborative partnership" to supply software and content network technologies to a "leading," though unnamed North American video service provider. Both companies have evolved over the years, with SeaChange now a software-focused company, led off by products such as its Adrenalin backoffice platform and Nucleus system for set-tops and other CPE.</p><p>In this service provider deal, Seachange, in conjunction with its own Adrenalin platform, is also reselling UpShift, Concurrent’s “unified” content delivery platform  that's designed to support a variety of screens, including smart TVs, smartphones, tablets, PCs, and gaming consoles, from one common network architecture. The UpShift suite is made up of a bevy of software modules and components, including a CDN manager, origin servers, edge servers, transparent caching, and video storage for applications such as cloud DVRs.</p><p>The companies said the UpShift has been integrated with the latest release of Adrenalin.</p><p>"Concurrent is an established leader in the video streaming market and our partnership enables more video service providers to take advantage of SeaChange's latest generation of open software platforms in combination with the market's best of breed technologies,” SeaChange CEO Jay Samit said, in a statement. “We're looking forward to a deployment that produces new value for our joint customer."</p><p>"We're excited to be working with SeaChange to deliver an end-to-end multiscreen solution for customers interested in launching IP video services and applications like cloud DVR, added Concurrent CEO Derek Elder. “Our UpShift CDN solution supports video streaming services to any device from a common software platform, making it an ideal fit for customers who are transitioning their core TV services to IP."</p>

Elder, <a href="https://www.nexttv.com/news/forty-under-40-329932" data-original-url="https://www.multichannel.com/news/forty-under-40-329932">named</a> to <em>Multichannel News’</em> “Forty Under Forty” in 2009, is also late of Tropic Networks, Cisco Systems, and Narad Networks.</p><p> “We are pleased to welcome Derek to Concurrent,” said Concurrent chairman Steve Nussrallah, in a statement. “He brings a wealth of industry experience as well as tremendous leadership experience to the role and we look forward to his focus on accelerating growth in our businesses.” </p><p>“I am honored to join Concurrent as CEO,” added Elder. “I am looking forward to helping drive profitable growth, breakthrough innovation, and solutions that help our customers achieve competitive advantage.” </p><p>Elder received a Bachelor of Science degree from the University of Maryland University College and a Master of Business Administration from The Pennsylvania State University.</p><p>Nussrallah also expressed thanks to for his contributions over the past six years, including the introduction of new multi-screen software solutions, expanding Concurrent’s customer base, and achieving profitability over the last eleven consecutive quarter.</p><p>For the first quarter for fiscal 2015, ended September 30, Concurrent posted net income of $734,000 on revenues of $17.5 million, down from $17.2 million in the year-ago quarter.</p>
