                                <p><a href="https://www.nexttv.com/tag/liberty-latin-america">Liberty Latin America</a> said Wednesday that its 49%-owned subsidiary Cable & Wireless Panamá S.A. has agreed to purchase Claro Panamá, a division of América Móvil S.A.B. de C.V. in an all-cash deal that values the business at about $200 million.</p><p>Claro Panamá has about 760,000 mobile subscribers and generated about $157 million in revenue in fiscal 2020. In a press release, <a href="https://www.nexttv.com/news/balan-nair-appointed-ceo-liberty-global-s-latin-american-caribbean-spin-416231">Liberty Latin America CEO Balan Nair</a> said the deal highlights the company’s commitment to its Panamanian network.</p><p>“The integrated business will operate over a network with extensive coverage and invest to deliver innovative mobile products and services for Panamanian consumers and B2B customers, including via leading technologies such as 5G,” Nair said in the release. “We at Liberty Latin America have established our group Operations Center in Panama and see the country as an important digital hub for the region, which we expect to drive growing demand for our full suite of mobile and fixed connectivity solutions. The valuation for the acquisition is consistent with our disciplined approach towards M&A and will be free cash flow accretive on a per share basis.”</p><p><a href="https://www.nexttv.com/news/liberty-latin-america-restructures-executiveteam">Also Read: Liberty Latin America Restructures Executive Team</a></p><p>The purchase, including fees and expenses, will be financed using cash and incremental borrowings at Cable & Wireless Panamá.                                 <p>Liberty Global moved another step closer to closing its $5.3 billion purchase of Cable & Wireless, as its shareholders overwhelming approved the deal with the Caribbean telecom company in a special meeting Wednesday.</p><p><a href="https://www.nexttv.com/news/liberty-global-buy-cable-wireless-395395" data-original-url="https://www.multichannel.com/news/liberty-global-buy-cable-wireless-395395">Liberty Global agreed to buy Cable & Wireless in November</a>. In typical Liberty fashion the deal is a complicated one, giving C&W shareholders the option of accepting Liberty Global stock or shares of its Caribbean tracker, Liberty Latin America in return for their C&W shares.</p><p>According to Liberty Global, more than 99% of the votes cast, representing 86% of all outstanding votes, were in favor of the deal. The next step is to receive approval from C&W shareholders, who will vote on the matter on April 28.   </p>

                                <p>Cable & Wireless Communications said it has hired Ericsson to support an upgrade of the provider’s core network in Panama with an IMS and Evolved Packet Core solution that will enable enhanced services such as WiFi calling and voice over LTE (VoLTE).</p><p>CWP said the platform will enable its subs will have access to both voice and video calling, and “seamless handover” between LTE and WiFi networks.</p><p>Ericsson said the new WiFi calling solution is based on an Evolved Packet Core (EPC) with a WiFi Mobility Gateway  and Ericsson IP Multimedia Subsystem (IMS), and is verified on smartphone brands that support WiFi calling. Rollout, integration, and implementation are currently underway, they said.</p><p>"We are constantly working to enhance and upgrade our network and offer more services for our customers," Carlo Alloni, CWP’s EVP technology and group CTIO, said in a statement. "As a result of this upgrade, we will be able to offer our customers in Panama more options to make regular operator calls everywhere, and to have better quality all the time in a simple, seamless way.” </p>

                                <p>Liberty Global said it will buy Cable & Wireless in a complicated deal that will also give the European cable operator a larger stake in its Caribbean tracking stock, Liberty Latin America and Caribbean (LiLAC).</p><p>The acquisition of Cable & Wireless isn’t a surprise – <a href="https://www.nexttv.com/news/liberty-global-talks-cable-wireless-394752" data-original-url="https://www.multichannel.com/news/liberty-global-talks-cable-wireless-394752">Liberty said it was in talks with the company in October</a>.  But in a complicated series of transactions, C&W shareholders have the option of accepting Liberty Global or LiLAC shares in exchange for their own.</p><p>According to a statement, Liberty Global values C&W at about $5.3 billion. The price is a 40% premium to C&W’s share price on Oct. 21. Liberty Global said under the terms of the offer, it will issue a maximum of 31.7 million Liberty Global Class A shares, 77.5 million Liberty Global Class B shares, 3.6 million Liberty Latin America and Caribbean Class A shares and 8.9 million Liberty Latin America and Caribbean Class C shares.</p><p>The deal also will give Liberty Global a majority of LiLAC equity, Morgan Stanley media analyst Ben Swinburne wrote in a note to clients.</p><p>Liberty <a href="https://www.nexttv.com/news/lilac-wilts-market-debut-391901" data-original-url="https://www.multichannel.com/news/lilac-wilts-market-debut-391901">spun off LiLAC as a tracking stock in July</a> to unlock the value of its Latin America assets, previously held within Liberty Global. The deal also helped turn Liberty Global into a pure-play European cable company.</p><p>“Pro forma for the proposed deal, current LiLAC shareholders would own 25-26% of LiLAC, 7-8% would be owned by current [Cable & Wireless] shareholders, and the remaining 67-68% by Liberty Global Group,” Swinburne wrote. “In aggregate, we estimate that LiLAC will need to issue [about] 129 million shares, which compares to roughly 44 million shares outstanding today.”</p><p>In a statement, Liberty Global CEO Mike Fries said the C&W transaction was a watershed moment for LiLAC, addin gsignificnat scale -- it will have about 10 million subscribers -- and create a new regional consumer and B2B powerhouse. </p><p>“With our long track record of strong operational and financial performance in the region, we are confident that this combination will yield substantial synergies and accelerate our current prospects for the LiLAC Group to low double-digit rebased OCF growth over the medium term," Fries said in the statement. "Our high-quality networks and commitment to product innovation will provide the foundation for growth and value creation for both Liberty Global and LiLAC shareholders. Upon closing, the combined LiLAC and CWC businesses will benefit from the broader group's scale and management expertise.”</p>

                                <figure class="van-image-figure pull-" data-bordeaux-image-check ><div class='image-full-width-wrapper'><div class='image-widthsetter' ><p class="vanilla-image-block" style="padding-top:56.25%;"><img id="Ne6i68hYe4VM5Rtt5j3kfF" name="" alt="" src="https://cdn.mos.cms.futurecdn.net/Ne6i68hYe4VM5Rtt5j3kfF.jpg" mos="https://cdn.mos.cms.futurecdn.net/Ne6i68hYe4VM5Rtt5j3kfF.jpg" align="" fullscreen="" width="" height="" attribution="" endorsement="" class="pull-"></p></div></div></figure><p>Cable & Wireless Communications, the London-based telephone, broadband and wireless  provider, confirmed that it is in talks with John Malone’s Liberty Global concerning a cash and stock acquisition of the company.</p><p>In a <a href="http://otp.investis.com/clients/uk/cable-and-wireless/rns/regulatory-story.aspx?cid=443&newsid=585425">statement</a>, Cable & Wireless said it noted the recent press speculation and “confirms that CWC is in discussions with Liberty Global plc regarding a possible shares and cash offer for CWC.”</p><p>In the statement CWC noted that according to U.K. Takeover Code, Liberty Global would have to announce its intention to make a firm offer for the company or not by Nov. 19. The company noted that deadline could be extended with the consent of the Takeover Panel.</p><p>The confirmation comes of the heels of a <a href="http://www.wsj.com/articles/malones-liberty-global-in-talks-to-buy-cable-wireless-communications-1445528255" data-original-url="http://http://www.wsj.com/articles/malones-liberty-global-in-talks-to-buy-cable-wireless-communications-1445528255">Wall Street Journal report</a> that the two were in discussions. According to the Journal, a deal could be worth as much as $5 billion.</p><p>Although it is based in London, Cable & Wireless provides pay TV, telephone, data and wireless services in the Caribbean and Latin America and has about 6 million subscribers. The deal would give Liberty Global, which has been pursuing MVNO resale agreements in Europe to offer a quad-play of video, voice, data and wireless, a foothold for a similar service in Latin America and the Caribbean.</p><p>Liberty Global already has a presence in Latin America – it spun off those assets in a <a href="https://www.nexttv.com/news/lilac-wilts-market-debut-391901" data-original-url="https://www.multichannel.com/news/lilac-wilts-market-debut-391901">separate tracking stock in July called Liberty Latin America and Caribbean</a> (LiLAC).  Malone also owns a 14% stake in Cable & Wireless, won after the company purchased Columbus International, in which Malone owned a stake,for $1.9 billion earlier this year.</p>
